The name
of the organization is the Canadian-Cuban Friendship
Association (Vancouver),
hereafter CCFA Vancouver or the Association.
The CCFA Vancouver undertakes
to initiate and promote activity and continued growth of friendship and co-operation
between the Canadian and Cuban peoples. Its activities will be directed toward
the dissemination of information and the development of mutual exchanges in
the areas of education, health care, culture and any other areas of mutual
interest. It undertakes to co-operate with other groups in Canada having similar
aims and interests, and to sustain our long-standing relationship with the
Cuban Institute for Friendship with the Peoples (ICAP)
BYLAWS
Membership
- Membership shall be
open to all persons who subscribe to the aims and objects of the Association.
- The annual membership
fee shall be established from time to time by the annual general membership
meeting of the Association.
- The term of membership
is one year which begins on the date of the first payment of annual dues.
Officers
- There shall be an
Executive Committee of the Association. The Executive Committee shall consist
of a minimum of seven (7) members and not more than eleven (members): President,
Vice-President, Secretary, Treasurer, and three members at large.
- The Executive Committee
shall be elected at each annual general membership meeting for a term of
one year from the date of such annual general membership meeting. To be
eligible for election to the executive one must be a member in good standing
for at least one year.
- The Executive Committee
may appoint, from time to time, additional members to sit on the Executive
Committee, with voice but no vote, if in its opinion this will enhance the
work of the Association. The Executive Committee may set up standing committees
as needed, each to be headed by a member of the Executive Committee.
- In the event of the
resignation or death of any member of the Executive Committee, the remaining
members of that Committee may designate from the membership to act until
and subject to the next annual general
membership meeting. All Executive Committee members and temporary replacements
on the Committee must be members in good standing of the Association.
- Between membership
meetings, the Executive Committee shall manage the affairs of the Association
and speak on behalf of the Association, but only in accordance with the
aims and objects of the Association.
- The Executive Committee
of the Association shall at membership meetings report its activities to
the membership.
Meetings
- There shall be an
Annual General Membership meeting of the Association during the month of
April. Immediately following the annual meeting, the outgoing Executive
committee shall turn over all books and records and the Association funds
to their successors. The quorum for this meeting shall be twenty (20) members.
- Membership meetings
of the Association shall be at such times and places as the Executive Committee
shall determine.
- A quorum at any Executive
Committee meeting of the Association shall be a majority of that Committee.
- Decisions of all meeting(s)
of the Association shall be made by simple majority.
Audit and Annual Report
- The Treasurer shall
prepare the annual financial report for submission to the Annual General
Membership Meeting, where all source documents shall be available for review
by the membership. The fiscal year of the Association is April 1 to March
31.
Finances
All monies received shall
be deposited in the appropriate bank or credit union accounts of the Association.
The treasurer shall be required to safe keep the assets of the Association
and prepare accounts of all transactions.
Withdrawals
Withdrawals shall be made
on the signature of at least two designated officers of the Executive Committee.
Winding-up
Upon Dissolution or winding
up of the Association, any assets remaining after payment of the liabilities
of the Association shall be distributed at the sole discretion of the Executive
Committee for the purposes in keeping with the aims and objects of the Association.
Books and Records
- The Executive Committee
shall see that all necessary books and records of the Association are regularly
and properly kept.
- The Accounts and books
of the Association shall be open for inspection by any member in good standing
at membership meetings.
Amendments
This constitution may
be amended by any general membership meeting following written notice of motion
of at least thirty days.
